1. Acceptance of Terms

By accessing and using Haipe Flow ("Service", "we", "us", or "our"), you ("User", "you", or "your") accept and agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use our Service.

By using our Service, you represent that you are at least 18 years of age and have the legal capacity to enter into a binding agreement.

2. Description of Service

Haipe Flow provides a cloud-based platform that enables businesses to request and collect Google Reviews from their customers through SMS messaging. Our Service includes:

  • SMS review request delivery to customer phone numbers
  • Customizable message templates
  • Message history and tracking
  • 14-day free trial for new users
  • Subscription-based access after trial period

The Service is provided "AS-IS" and Haipe Flow makes no warranties regarding the timeliness, deletion, mis-delivery, or failure to store any communications.

3. Free Trial and Subscription

3.1 Free Trial: New users receive a 14-day free trial period starting from account creation. During the trial, you may send SMS messages according to the Service limitations. No payment method is required to start the trial.

3.2 Subscription: After the trial period expires, continued access requires an active paid subscription. We offer monthly and annual subscription plans as displayed on our pricing page.

3.3 Billing: Subscription fees are charged automatically on a recurring basis. You authorize us to charge your payment method for all fees. Fees are non-refundable except as required by law.

3.4 Cancellation: You may cancel your subscription at any time. Upon cancellation, you will retain access until the end of your current billing period.

4. SMS Messaging Terms and TCPA Compliance

4.1 Your Responsibilities: When using our SMS Service, you agree to:

  • Obtain proper consent from recipients before sending SMS messages
  • Comply with the Telephone Consumer Protection Act (TCPA) and all applicable laws
  • Maintain records of recipient consent
  • Honor opt-out requests immediately
  • Only send messages to customers with whom you have an established business relationship
  • Include opt-out instructions in your messages when required

4.2 Prohibited Uses: You may NOT use our Service to:

  • Send unsolicited commercial messages (spam)
  • Send messages without proper recipient consent
  • Send messages containing illegal, harmful, or offensive content
  • Violate any local, state, federal, or international law
  • Harass, threaten, or defraud recipients
  • Impersonate any person or entity
  • Send messages at unreasonable hours (before 8 AM or after 9 PM in recipient's timezone)

4.3 Third-Party Services: Our Service uses Twilio for SMS delivery. You acknowledge that Twilio's Acceptable Use Policy and Messaging Policy apply to your use of our Service. You can review these policies at https://www.twilio.com/en-us/legal/aup.

5. User Account and Security

5.1 Account Creation: You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials.

5.2 Account Security: You are responsible for all activities that occur under your account. Notify us immediately of any unauthorized use.

5.3 Account Termination: We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent or illegal activities.

6. Intellectual Property Rights

The Service, including all content, features, functionality, software, and design, is owned by Haipe Flow and protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service without our express written permission.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HAIPE FLOW SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages arising from your use or inability to use the Service
  • SMS delivery failures or delays caused by third-party carriers
  • Violation of laws or regulations by you or your recipients
  • Any fines, penalties, or legal action resulting from TCPA violations

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. Indemnification

You agree to indemnify, defend, and hold harmless Haipe Flow, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any laws or regulations
  • Your violation of recipient rights or consent requirements
  • Content you send through the Service

9. Data and Privacy

Your use of the Service is subject to our Privacy Policy, available at /privacy. By using the Service, you consent to our collection and use of your data as described in the Privacy Policy.

10. Modifications to Service and Terms

10.1 Service Changes: We reserve the right to modify, suspend, or discontinue the Service at any time with or without notice.

10.2 Terms Changes: We may update these Terms from time to time. Material changes will be notified via email or Service notification at least 30 days before taking effect. Continued use after changes constitutes acceptance of the new Terms.

11. Dispute Resolution and Governing Law

11.1 Governing Law: These Terms shall be governed by the laws of the State of California, United States, without regard to conflict of law provisions.

11.2 Arbitration: Any dispute arising from these Terms shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except for claims that may be brought in small claims court.

11.3 Class Action Waiver: You agree that disputes will be resolved individually and you waive any right to participate in class actions.

12. Miscellaneous

12.1 Entire Agreement: These Terms constitute the entire agreement between you and Haipe Flow regarding the Service.

12.2 Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in effect.

12.3 No Waiver: Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.

12.4 Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms at any time.
